CONSTITUTION OF THE
PROFESSIONAL SURVEYORS ASSOCIATION OF NEBRASKA



ARTICLE IV
Officers
SECTION 1.   The officers of the Association shall be President, Vice President, Treasurer, Secretary, and six (6) Directors (one of whom shall be the President Elect/One Year Director) and one (1) ex-officio director. The one (1) ex-officio director shall be the Nebraska State Surveyor. These individuals shall constitute the Official Board of this Association. The President and Secretary shall be Chairman and Secretary, respectively. An additional Director is eligible as an officer of the association pursuant to Constitutional Article VII and shall have full director voting rights and shall further constitute the official Board of this Association. The Official Board shall have vested in them the Government of the Association and the control of its property.
SECTION 2.   The President Elect/One Year Director, Vice President, Secretary, Treasurer, five (5) of the six (6) Directors, shall be elected by letter ballot prior to the Annual Meeting of the Association and shall hold office until their successors are elected and qualified at the next Annual Meeting.

The President Elect for the current year shall become President for the ensuing two years. The President shall not be eligible for the office of President Elect for one (1) year after the completion of the President's term.
SECTION 3.   Only Honorary Life Members, Retired Members, and Active Members shall have the privilege of voting for and holding the office of President, President Elect, Vice President, Secretary, Treasurer, and Six (6) Directors in the Association.
SECTION 4.   At the expiration of the term of any elected Director (except the State Surveyor, One Year Director, and President Elect), their successor shall be elected for a term of two (2) years.

The President shall serve a term of office of two (2) years.

The Secretary and Treasurer shall serve a term of office of two (2) years. These officers shall begin their two (2) year terms in alternating years.

In order to effectuate the transition from the constitutional one year position of Secretary and Treasurer to a two year position of Secretary and Treasurer the Board of Directors shall operate as follows:

The individual elected to the position of Treasurer for the year 1991 shall serve a two year term (1991-1993). The individual elected to the position of Secretary for the year 1992 shall serve a two year term (1992-1994).

This paragraph is automatically eliminated from the constitution at the annual meeting in the year 1994.

The President Elect shall be eligible for said position pursuant to the following condition: He shall have served on the Board of Directors of the Professional Surveyors Association of Nebraska within the last seven years.

In order to effectuate the transition from the Constitutional One Year Presidency to the Constitutional Two Year Presidency the Board of Directors shall operate as follows:

The current past President of this association shall remain on the Board of Directors in the capacity of the Past President Director for one year (1990-1991) after which time the office of Past President shall no longer exist. The position of Past President will be replaced by the position of President Elect/One Year Director. The current President of 1990 shall be reinstated as President for a two year term. (1990-1992). The current Vice President of 1990 shall be reinstated as President Elect for (1991-1992) and in 1992 shall be instated as President for (1992-1994). In the year 1992 a One Year Director shall serve on the Board of Directors. Thereafter, the aforestated and afterstated constitutional provisions shall apply.

This paragraph is automatically eliminated from the Constitution at the annual meeting in the year 1993.

SECTION 5.   The President shall preside at all meetings of the membership or of the Official Board except that he may appoint a temporary Chairman at any such meeting or part of such meeting. He shall be the principal officer of the Association and with the Official Board, shall guide its functions. He shall provide the Secretary and Executive Director with a copy of all official correspondence which he may conduct for the permanent records of the Association.
SECTION 6.   The Vice President shall assist the President and act for him in his absence or by his direction.
SECTION 7.   The Secretary shall be the custodian of the records and books of the Association except the accounts of the Treasurer. He shall conduct the official correspondence of the Association under the direction of the Official Board and maintain a file of all such correspondence. He shall prepare reports of all meetings of the Association or its Directors and perform such other duties as the Official Board may direct.
SECTION 8.   The Treasurer shall be custodian of all funds and act without bond. He shall keep books and accounts of the receipts and expenditures of the funds and render a financial statement at the annual meeting, and as directed by the Official Board.
SECTION 9.   All Association funds shall be deposited in the name of the Association in a bank or banks approved by the Official Board, and the withdrawal of any such funds shall only be made as follows: The Executive Director shall have vested authority to singularly draw and sign orders in the name of the Association. In the absence of the Executive Director, the Treasurer shall draw his order and have it countersigned by an Officer of the Association, limited to the President, Vice President, or Secretary.
SECTION 10.   Any vacancy occurring in any office shall be filled by appointment by the Official Board.
